SECTION 1.
Meiji Dealers are not required to have a website. If they decide to do so, they will agree to complywith the Meiji Techno Dealer Internet Policy, hence forth known as MDIP or “the policy”, or risk losing dealershipstatus.

SECTION 2.
Dealer websites cannot use the copyrighted company name or portion thereof for their website domains i.e. microscopes-meiji.com. Meiji Techno will file copyright violation complaints with internet authority ICANN resulting in the closing down and/or the turning over of internet domains found to be in violation to the rightful copyright holder, Meiji Techno Co., Ltd.

SECTION 3.
Dealers agreeing to the MDIP will have Meiji products on their website and that the pages be maintained to be in compliance with the MDIP and best internet practices. MTA, Meiji Techno America, reserves the right to have the Dealer remedy pages as required to be in compliance with the MDIP.

SECTION 4.
Dealers agreeing to the policy understand that compliance with the policy does not harm their placement in search engines but actually improves their compliance with search engine requirements mainly Google’s published SEO policy and documentation. MTA can provide supporting documentation on request.

SECTION 5.
Dealers agreeing to the policy understand that compliance to the policy is important in establishing the separation of MTA and Meiji Techno Japan with its dealers, that compliance establishes the stated policy thatMTA does NOT compete or bypass its dealers, that MTA needs dealers in order to secure business and that customers, the end users and the general public, need clarity of what entity is serving the customer and that thec ustomer understands by virtue of what that customer sees on the website, that the customer is indeed looking at a Meiji Techno Dealer Website and not a dealer website constructed in such a manner that it appears to be owned and operated by Meiji Techno America or Meiji Techno Co. Ltd. of Saitama, Japan.

SECTION 6.
Dealers agreeing to the policy understand that compliance to the policy includes some basicagreements on the look and design of the dealers website including but not limited to:

A. WEBPAGE HEADERS – The Dealer Name is prominent on the website pages header, the header is constructed insuch a manner to satisfy the intention of the policy as explained above in SECTION 5.

B. ORIGINAL IMAGES & TEXT – The Dealers must use their own images on their own websites which includesimages of product, images of words or phrases, images used as design elements and cannot use any image residing on the website. MTA provides images to Dealers available on request here AT NO CHARGE via email:
marketing@meijitechno.com. The images supplied by MTA to dealers are not used on the official MTA website and are therefore in compliance. MTA also reserves the right to waive only this provision on a case-by-case,image-by-image basis when causing undo hardship on the dealer.

C. COMPETING PRODUCTS – APPLES VS ORANGES – The Dealers website shall restrict the use of links, text and images, OTHER THAN NAVIGATIONAL, to competing products on pages that have Meiji Techno Products in a manner that is intentionally unequitable or misleading. Competing products are defined as products not made by Meiji Techno Co., Ltd., Dolan-Jenner, FTI or Lumenera.

D. NON-RELATED LINKS – The Dealer website shall, within reason, not have links to non-microscope related businesses.

E. ORIGINAL CONTENT – The Dealer website shall not have text lifted from the MTA or Japan website. Forexample, instead of posting Meiji’s Warranty word-for-word on the dealer website, the dealer website can providea link to the MTA Warranty webpage:
https://meijitechno.com/warranty/. Dealers need to provide their own content.Links to Meiji Techno America website content cannot be linked to or used in such a way that it appears that the dealer created the content.

F. MISLEADING CONTENT – The Dealer website shall not having misleading images or misleading text or misleading content that gives the impression that the website is owned or operated by Meiji Techno America or Meiji Techno Co. Ltd. of Saitama, Japan. MTA reserves the right to have the Dealer remedy the page as required to be in compliance with SECTION 5 above.

G. CORRECTED CONTENT – Information posted on Dealer websites in regards or pertaining to Meiji Techno and its products will be factually and technically correct. This provision especially applies in cases where the dealer is making comparisons of products the dealer may be selling in addition to Meiji in the same category. Dealers agreeing to the policy understand that changes requested by MTA about incorrect information shall be corrected or removed as needed in a reasonable period of time from when the dealer is notified by Meiji about corrections.

H. CONTACT INFORMATION – There must be a clear distinction between the contact information for the dealer and the contact information for Meiji Techno America which will consist of a link to MTA’s Contact Page. Dealer websites shall not display MTA or Meiji Techno Japans address or contact information as text or as an image on any page as explained above in SECTION 5. The dealer may instead have a link to our
contact page.

I. LINKS to MTA WEBSITE – Dealers are encouraged to use as many links or “hyperlinks” to the MTA website as they would like as long as it is made clear to the customer that the content belongs to MTA. Dealers understand the benefit of linking to rather than duplicating MTA content. Significant SEO gains can be achieved by both websites as a result of this policy. Again, MTA will provide the supporting documentation on request.

J. EXTERNAL LINKS – Dealers are encouraged to use as many links or “hyperlinks” to external websites as along as:

1. The Link goes to useful information about microscopes i.e.
http://www.microscopyu.com

2. The Link is in good taste and does not reflect ill of MTA or the Dealer.

3. The Link promotes Meiji Techno and/or the Dealer in a positive way.

K. “BORROWED” TEXT & IMAGES – Dealers “borrowing” images or text from the MTA website need to alter or re-write them in such a way as to make them different than how the image or text appeared on the MTA website.Dealers are encouraged to display “Authorized Meiji Techno Sales & Service” banners on their websites as they see fit. They are available at the
Dealer Section of the MTA website.

SECTION 7.
Dealers agreeing to the policy shall not construct web pages that use web techniques considered illegal, that may harm the users computer or what can be considered bad internet etiquette. MTA reserves the right to have the Dealer remedy web pages as required to be in compliance to the MDIP.

SECTION 8.
Dealers displaying discontinued products on their website can be instructed to remove or update to newer products. MTA reserves the right to have the Dealer update images as required to be in compliance with the MDIP.

SECTION 9.
Authorized Meiji Techno Dealers registering and operating web domains deemed in violation of MeijiTechno copyrights, shall upon subsequent determination by ICANN or designee, agree to compensate Meiji Techno,in full, for costs related to the enforcement of the MDIP by the Dealer or persons designated by Meiji Techno as the responsible parties for incurred policy enforcement costs.

SECTION 10.
MTA reserves the right to update, expand, extend and revise the MDIP at its own discretion.Updates to the MDIP will be announced and posted in the Dealer Section of the MTA website.
